Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the ArmourZero website, (the “Service”) operated by ArmourZero Sdn Bhd (“us”, “we”, or “our”)

This Terms of Service agreement (this “Agreement”) is made and entered into by and between you, as a User (as defined below), and ArmourZero Sdn Bhd, a company doing business as ArmourZero, and its subsidiaries and affiliates (collectively, “ArmourZero”). This Agreement contains the terms and conditions that govern the use of ArmourZero Security as the service (the “Platform”). ArmourZero directly, and through its website (https://www.armourzero.com) and the associated domains thereof (the “Site”), offers customers the products and services list at ArmourZero as such list may be updated, modified, or otherwise changed from time to time, collectively, the “Services”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service. By clicking the applicable button to indicate your acceptance of this agreement, or by accessing or using the platform, you agree effective of the date of such action, to be bound by the Agreement

These Terms include a class action waiver and a waiver of jury trials and require binding arbitration on an individual basis to resolve disputes. These Terms limit the remedies that may be available to you in the event of a dispute.

COMMUNICATIONS

By creating an account on our service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt-out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

PURCHASES

If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, and your billing address.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

The service may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to product or service availability, errors in the description or price of the product or service, error in your order, or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

SUBSCRIPTIONS

Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Armourzero Sdn Bhd cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting the ArmourZero customer support team via [email protected]

SERVICE FEE AND CHARGES

You agree to pay the fees for the Services in accordance with the applicable fee schedules listed in invoice receives, and you authorize ArmourZero to debit your designated bank account as specified in the platform (the “Bank Account”), for all fees as they become payable. Unless otherwise stated in the applicable Service Terms, fees for the Services are typically based on the calendar month or year in which you enrolled in any Services (so, for example, if you is enrolled in antivirus services for a given calendar month, you would be charged for such licenses of the month even you did not assign any end-user in such month), and such applied in full for a given calendar month, regardless of whether you is only enrolled in the Services for a portion of such month. Except for a certain fee from your Bank Account for particular add-on services that you have opted into, fees for the Services will be billed to you and debited from your Bank Account on a monthly calendar basis, in arrears. Notwithstanding the foregoing, ArmourZero may invoice you for any applicable, outstanding fees, and you shall pay such invoice within fourteen (14) days of receipts thereof via money transfer, check, or any other payment method ArmourZero may deem acceptable in sole direction. All fees are non-refundable. You agree to reimburse ArmourZero for any sales, use, and similar taxes arising from the provision of the service that any state or local government may impose. ArmourZero may charge additional fees for exceptions processing, setup, and other special services (including optional add-on services)

ArmourZero in its sole discretion and at any time may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

ArmourZero will provide you with reasonable prior notice of any change in Subscription fees to allow you to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

FREEMIUM (FREE TRIAL)

ArmourZero may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”).

You may be required to create an account with ArmourZero in order to sign up for the Free Trial.

At any time and without notice, ArmourZero reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

REFUNDS

Paid subscription fees are non-refundable.

LINKS TO OTHER WEBSITES

Our Service may contain links to third-party websites or services that are not owned or controlled by ArmourZero.

ArmourZero has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that ArmourZero shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Please refer to ArmourZero Privacy Policy for information on how ArmourZero collects, uses, and discloses information from you. You acknowledge and understand that ArmourZero may collect, use, and disclose your information pursuant to ArmourZero Privacy Policy, as it may be updated from time to time.

ACCOUNTS

When you create an account with us, you guarantee that you are above the age of 18 and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

You hereby authorize ArmourZero to obtain and store your account information as necessary to make the Service available for you.

PASSWORD

When you register for an Account, you will also be asked to choose a password for your account. You are solely responsible for maintaining the confidentiality of your password. You agree not to use the Account or password of another person at any time. You agree to notify us immediately if you suspect any unauthorized use of your Account or access to your password. You are solely responsible for any and all use of your Account.

RESTRICTION

You may not modify any part of the platform, create derivative works of the ArmourZero, or reverse engineer, reverse compile, reverse assemble or do any other operation with the ArmourZero that would reveal any source code, trade secrets, know-how, or other proprietary information. You may not remove or modify any notice of confidentiality, trade secret, trademark or copyright encoded or embodied in the ArmourZero or displayed by, on, or in the ArmourZero. You may use the Service only while these Terms remain in effect. Under no circumstances shall you have any rights of any kind in or to any part of the Service after any termination or expiration of your agreement to these Terms for any reason. In no event may you use the Service for commercial endeavors without our prior written consent.

USER CONTENT

You and other ArmourZero users may be provided the opportunity to participate in the Service discussions or to otherwise submit content to ArmourZero. ArmourZero does not claim ownership rights in any information, data, text, messages, or other materials or content Readers make available or use in connection with the ArmourZero (“User Content”). By submitting your User Content: (i) you unconditionally grant to ArmourZero a non-exclusive, perpetual, irrevocable, worldwide, fully-paid, transferable right and license, with the right to sublicense through multiple levels of sublicensees, under all of your intellectual property rights in the User Content, to reproduce, create derivative works of, distribute, publicly display, digitally transmit, and otherwise use the User Content in any medium or format, whether now known or hereafter discovered; and (ii) you unconditionally grant to other users of the ArmourZero a non- non-exclusive, perpetual, irrevocable, worldwide, fully-paid, transferable right and license under all of your intellectual property rights in the User Content, to reproduce, create derivative works of, distribute, publicly display, digitally transmit, and otherwise use the User Content in any medium or format, whether now known or hereafter discovered solely in connection with any such other users’ use of the products and services provided by ArmourZero. You remain the owner of all User Content that you submit to the ArmourZero and you represent and warrant to ArmourZero that you are the owner of the copyright to the User Content you submit to the ArmourZero or that you have permission from the copyright owner to submit such User Content. By making User Content available, you represent and warrant that:

(a) the downloading, copying, and use of the User Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;

(b) if your employer has rights to intellectual property you create, you have either (i) received permission from your employer to post or make available the User Content, including but not limited to any software, or (ii) secured from your employer a waiver as to all rights in or to the Content;

(c) you have fully complied with any third-party licenses relating to the User Content, and have done all things necessary to successfully pass through to end users any required terms;

(d) the User Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;

(e) the User Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third-party sites or boost the search engine rankings of third-party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);

(f) the User Content is not pornographic, does not contain threats or incite violence, and does not violate the privacy or publicity rights of any third party; and

(g) you have, in the case of User Content that includes computer code, accurately categorized and/or described the type, nature, uses, and effects of the materials, whether requested to do so by ArmourZero or otherwise.

END-USER CONDUCT- CODE OF CONDUCT

You expressly agree that you are solely responsible for any and all acts and omissions that occur through your use of the Platform, and you agree not to engage in any unacceptable uses of the Service, which include, without limitation, use of the Service to:

(a) interfere, disrupt or attempt to gain unauthorized access to other accounts on the Service or any other computer network;

(b) use the Service in connection with any commercial endeavors without ArmourZero express written consent;

(c) create user accounts by automated means or under fraudulent or false pretenses;

(d) create or transmit unsolicited electronic communications such as spam to you or promote any products or the Platform;

(e) collect and publish any information about any of our users;

(f) use any spider, robot, retrieval application, or any other device to retrieve any portion of the Site;

(g) reformat any of the pages that are part of the Site;

(h) disseminate, store or transmit viruses, worms, Trojan horses, or other malicious code or program;

(i) encourage conduct that would constitute a criminal or civil offense;

(j) violate any applicable federal, state, local, or international law or regulation;

(k) invade the privacy of any person, including but not limited to submitting personally identifying or otherwise private information about a person without their consent (or their parent’s consent in the case of a child under 13 years of age);

(l) submit false or misleading information to ArmourZero, the Service, or other users; or

(m) engage in any other activity deemed by ArmourZero to be in conflict with the spirit of these Terms and the Privacy Policy.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless ArmourZero and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

LIMITATION OF LIABILITY

In no event shall ArmourZero, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

TERMINATIONS

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

DISCLAIMER

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

ArmourZero its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components, or d) the results of using the Service will meet your requirements.

CHANGES

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
